Submission to OASIS WSDM TC of Web Services Manageability 1.0, by IBM, Computer Associates and Talking Blocks, and Statement Regarding Licensing, 10 September 2003

The Web Services Manageability - Concepts 1.0, Web Services Manageability - Specification 1.0, and Web Services Manageability - Representation 1.0, 10 September 2003 (the "Specification") was developed by IBM, Computer Associates International, Inc., and Talking Blocks, Inc. (each an "Author"). The Authors hereby contribute the Specification to the OASIS Web Services Distributed Management Technical Committee. In addition to the rights and representations provided for in the OASIS Policy on Intellectual Property Rights, the Authors make the following grants and commitments.

Permission to copy, display, perform, modify and distribute the Specification, and to authorize others to do the foregoing, in any medium without fee or royalty is hereby granted for the purpose of developing and evaluating the Specification.

IBM Corporation, Computer Associates International, Inc., and Talking Blocks, Inc. (collectively, the "Authors") will each grant a royalty-free license to third parties, under reasonable, non-discriminatory terms and conditions to certain of their respective patents that they deem necessary to implement the Specification.

Intellectual Property Disclosure Statement by Computer Associates, 10 September 2003

CA, as an OASIS WSDM TC specification development participant, supports a full disclosure policy for essential published patent applications and issued patents, and an acknowledgement policy for potentially essential unpublished patent applications.

CA submitted a contribution to the OASIS WSDM TC working group for the WS-Manageability Specification on September 20, 2003. At this time, CA does not believe that there exist issued patents or pending patent applications (published or unpublished) within CA' portfolio that may contain claims, which would be essential in the implementation of the WS-Manageability Specification.

CA's intellectual property disclosures are based upon the working knowledge of those individuals involved with the OASIS WSDM TC and do not represent the results of a CA patent portfolio search. Should CA personnel become aware of patents or patent applications, essential to the implementation of the WS-Manageability Specification, these patents or patent applications will be communicated to OASIS.

Should CA determine that there are patent claims within its portfolio, which would be considered essential for compliant implementation of the WS-Manageability Specification, these claims will be made available under Royalty Free terms and conditions to all for compliant implementation of the WS-Manageability Specification. This Intellectual Property Disclosure is not a license to any CA patents. CA will provide, upon written request, a nonexclusive, royalty-free license to implement the WS-Manageability Specification, with other reasonable terms and conditions, for all patent claims issued to CA which are essential to the compliant implementation of the WS-Manageability Specification and for which CA is able to provide patent licenses. This patent license would be made available to all entities. Should those requesting a patent license from CA also have claims essential to the referenced specification, CA will grant this patent license provided that the recipient, in return, will grant CA a reciprocal license to their essential claim(s).

Talking Blocks has submitted a contribution to the OASIS WSDM TC working group for the WSManageability Specification (August 29, 2003). At this time, Talking Blocks does not believe that there exist issued patents or patent applications (published or unpublished), within Talking Blocks' portfolio that may contain claims, which would be essential in the implementation of the WS-Manageability Specification.

Talking Blocks intellectual property disclosures are based upon the working knowledge of those individuals involved with the respective Technical Committee and do not represent the results of a Talking Blocks patent portfolio search. Should Talking Blocks personnel become aware of patents or patent applications, essential to the implementation of the WS-Manageability Specification, these patents or patent applications will be communicated to OASIS.

Should Talking Blocks determine that there are patent claims within its portfolio, which would be considered essential for compliant implementation of the WS-Manageability specification submitted herewith, these claims will be made readily available through a non-discriminatory license subject to certain terms and conditions to all for compliant implementation of such proposed WS-Manageability Specification. Talking Blocks will provide, upon written request, a nonexclusive license to implement such WS-Manageability Specification, with other reasonable terms and conditions, for all patent claims issued to Talking Blocks, which are essential to the compliant implementation of the WS-Manageability Specification and for which Talking Blocks is able to provide patent licenses without payment of royalties to any third party. This patent license would be made available to all entities. Should those requesting a patent license from Talking Blocks also have claims essential to the referenced specification, the license grant will be subject to the recipient, in return, granting Talking Blocks a reciprocal license to their essential claim(s).

Intellectual Property Disclosure Statement by HP, 29 July 2003

In reference to the "Web Services Management Framework 2.0" ("WSMF-2.0"), a technical specification, Hewlett-Packard Company hereby submits WSMF-2.0 to the OASIS Web Services Distributed Management Technical Committee ("WSDM-TC") for consideration, discussion and inclusion, all or in part, in the proposed "Web Services Distributed Management (WSDM) V1.0 Specification" ("WSDM-1.0").

In addition to the rights and representations provided for in the OASIS Policy on Intellectual Property Rights, HP makes the following statements:

  1. HP grants OASIS members, in their individual capacity participating in the WSDM-TC, the right to copy, display, perform, modify and distribute WSMF-2.0, in any medium without fee or royalty, only for the express purpose of developing the WSDM-1.0 specification as described in the WSDM-TC charter. Such license shall expire upon approval of the WSDM-1.0 specification by WSDM-TC or termination of the TC.
  2. HP has patent rights that may be necessarily infringed by a compliant implementation of WSMF-2.0.
  3. HP commits to grant a non-sub-licenseable, non-transferable license to third parties, solely for the purpose of developing or implementing a compliant implementation of the WSDM-1.0 specification based on or incorporating portions of WSMF-2.0, under royalty-free and reasonable and non-discriminatory terms and conditions, to those HP's patent claims HP deems necessary to implement the required portions of WSMF-2.0, provided a reciprocal license to other essential patents is granted.
  4. The following statement of Disclaimer of Warranties and Limitation of Liability is provided:
